The Private Placement Memorandum together with the summary of fund terms attached to the commitment letter (collectively, the PPM) has been compiled by OneVentures Pty Limited ABN 52 122 757 993 (OneVentures) or its related entities.
This PPM is supplied personally to the recipient on the conditions set out below. The recipient’s acceptance of these conditions is evidenced by its retention of this document. If these conditions are not acceptable, the recipient must return this document immediately.

Any person who receives a copy of this PPM in circumstances where receipt of it is unlawful or unauthorised or requires OneVentures to take any additional steps, including registration, must not accept the copy and must immediately return it to OneVentures. Any failure to comply with restrictions on receipt or distribution of this PPM may constitute a violation of applicable securities laws.
To the extent permitted by law, none of OneVentures, its related entities or their respective directors, officers, partners, employees, affiliates, shareholders or agents makes any representation, guarantee or warranty (express or implied) as to, or accepts responsibility for, the accuracy or completeness of the information contained in this PPM. This PPM contains a summary and description of certain features of the Fund. Any information provided in this PPM is subject to the Fund’s constituent documents. To the extent of any inconsistency, the Fund’s constituent documents prevail.
